1. Dealer Eligibility

To be eligible to become an authorized dealer, applicants must:

• Be a legally registered business entity or individual
• Hold valid identification documents (NID)
• Operate within our designated service areas
• Agree to abide by all applicable pharmaceutical regulations
• Have a valid trade license (recommended)

2. Application Process

By submitting a dealer application, you acknowledge that:

• All information provided is accurate and truthful
• Submission of an application does not guarantee approval
• We reserve the right to reject any application without providing a reason
• We may contact you for additional information or verification

3. Dealer Obligations

Once approved as an authorized dealer, you agree to:

• Sell products only within the approved area/territory
• Maintain proper storage conditions for all pharmaceutical products
• Not engage in any unauthorized distribution or sub-dealing
• Make timely payments as per agreed terms
• Report any product quality issues or complaints promptly
• Comply with all government and regulatory requirements for medicine sales

4. Pricing & Commissions

Pricing and commission rates are determined by the company and may vary by product and dealer tier. Rates are communicated at the time of approval and may be subject to change with prior notice.

5. Order & Payment Terms

• Orders must be placed through authorized channels only
• Payment terms will be agreed upon at the time of onboarding
• Overdue payments may result in suspension of the dealer account
• All disputes must be raised within 7 days of the transaction

6. Termination

We reserve the right to suspend or terminate a dealer's account for:

• Violation of these terms and conditions
• Fraudulent activity or misrepresentation
• Consistent non-payment or excessive outstanding dues
• Engaging in activities that harm the company's reputation

7. Limitation of Liability

The company shall not be liable for any indirect, incidental, or consequential damages arising from the dealer relationship or use of our products, to the maximum extent permitted by applicable law.

8. Governing Law

These Terms & Conditions shall be governed by and construed in accordance with the laws of Bangladesh. Any disputes shall be subject to the exclusive jurisdiction of the courts of Bangladesh.

9. Changes to Terms

We reserve the right to modify these terms at any time. Dealers will be notified of significant changes. Continued use of our services after changes constitutes acceptance of the new terms.
